Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Detailed In Design, LLC, an Illinois Limited Liability Company (“Company,” “we,” “us,” or “our”), governing your access to and use of the Dataset Reality Check hosted application and related services.
1. Acceptance of Terms
By accessing or using Dataset Reality Check, you acknowledge that you have read, understood, and agree to be bound by these Terms. You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
2. Service Description
Dataset Reality Check is a hosted application for pre-model epistemic dataset analysis. The application enables you to:
- Analyze dataset quality before model training
- Detect drift, regime shifts, and distributional anomalies
- Assess feature fragility and identify unstable predictors
- Identify assumption violations that undermine model reliability
- Generate analysis reports and diagnostic summaries
The application supports CSV, TSV, and Parquet file formats with a maximum file size of 500 MB per file.
Hosted Launch Scope: The June 1 self-serve service processes non-regulated datasets uploaded by authorized users. Private, offline, desktop, and air-gapped deployments require a separate enterprise agreement.
3. Account Registration
You must complete the DID checkout and license-agent account flow to obtain a license key. You agree to provide accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and license key. You must notify us immediately at privacy@detailedindesign.com of any unauthorized use of your account.
4. License Grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access the hosted Dataset Reality Check service under the seats and usage limits permitted by your subscription tier
- Use the application for its intended purpose of non-regulated dataset analysis
- Generate and retain analysis reports for your own use
This license does not include the right to:
- Sublicense, resell, or redistribute the application or any component thereof
- Reverse engineer, decompile, or disassemble the application
- Remove or alter any proprietary notices, labels, or marks
- Use the application for competitive analysis or benchmarking without prior written consent
- Modify or create derivative works based on the application
5. License Verification and Private Deployments
5.1 Online Verification
Hosted subscriptions are verified through the Detailed In Design account, billing, and license systems. Private deployments may perform a periodic license heartbeat. Hosted job processing is separate from license verification.
5.2 Offline / Air-Gap Activation
For environments that require no network connectivity, offline activation is scoped as custom enterprise work:
- Deployment, support, updates, and retention must be agreed in writing
- Offline keys and renewal terms are defined in the enterprise agreement
- Air-gap deployments are not part of the self-serve hosted SaaS launch
- Network behavior is governed by the private deployment configuration
6. Subscription Tiers and Pricing
Dataset Reality Check is available in the following subscription tiers:
- Starter - $199/month: Core hosted analysis workflows and email support.
- Professional - $399/month: Advanced hosted analysis, API access, and priority support.
- Enterprise - $1,199/month: Expanded hosted usage, SSO-ready planning, custom rules, and enterprise deployment scoping.
All pricing is subject to change with 30 days’ written notice. Price changes take effect at the start of the next billing cycle.
7. Billing and Payment
Payment is processed through Detailed In Design checkout and Stripe. Subscription fees are billed monthly or annually in advance and are non-refundable except where required by law or explicitly stated in a written order form.
Late payment results in license suspension after 15 days’ notice. Outstanding balances accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. Suspended licenses prevent hosted access unless an enterprise agreement provides a different remedy.
8. Data Ownership
Your data is yours. You retain all right, title, and interest in your datasets, analysis results, and any outputs generated by the application. We claim no ownership, license, or rights of any kind over your data.
For hosted SaaS, datasets you upload are processed for the requested analysis job. You must not upload PHI, payment card data, classified data, or other regulated datasets unless a separate enterprise agreement authorizes that use.
9. File Size and Format Limitations
The application supports the following file formats and size limits:
- Supported Formats: CSV (comma-separated values), TSV (tab-separated values), Parquet (Apache Parquet)
- Maximum File Size: 500 MB per file
- Encoding: UTF-8 encoding is required for CSV and TSV files
Files exceeding the 500 MB limit will be rejected at load time. The Company is not responsible for performance degradation when processing files near the maximum size limit on hardware with insufficient resources.
10. Intellectual Property
The Company retains all right, title, and interest in Dataset Reality Check, including all software, algorithms, analysis methods, user interface designs, and documentation. Nothing in these Terms transfers any intellectual property rights to you except the limited license granted in Section 4.
11. Acceptable Use
You agree not to:
- Use the application for any purpose that violates applicable laws
- Attempt to circumvent license restrictions, activation mechanisms, or file size limits
- Share your license key with unauthorized users or organizations
- Use the application to process data for which you lack lawful authorization
- Transmit malware through the license verification channel
- Interfere with the application’s operation or security mechanisms
12. Privacy
Your use of Dataset Reality Check is also governed by our Privacy Policy, which describes how we handle hosted uploads, account data, license data, and payment information.
13. Warranty Disclaimer
THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
Without limiting the foregoing:
- Analysis results are provided as decision-support information, not as definitive conclusions about dataset quality.
- The Company does not guarantee that analysis results will be error-free or that all dataset issues will be detected.
- The Company is not responsible for decisions made based on analysis results.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES.
You are responsible for keeping source copies of uploaded datasets and for ensuring the data you upload is authorized for hosted processing.
15. Indemnification
Customer Indemnification: You agree to indemnify and hold harmless the Company from claims arising from your use of the application, data processed in violation of applicable law, and decisions made based on analysis results.
Company Indemnification: The Company will indemnify you against third-party claims that the application infringes a valid patent or copyright.
16. Updates and Maintenance
The Company may release updates to the hosted application to fix bugs, improve performance, or add features. Private, offline, and air-gapped installations require a separate maintenance and update process.
The Company reserves the right to discontinue the application with 90 days’ written notice. In the event of discontinuation, customers will receive a pro-rated refund for any prepaid subscription fees.
17. Termination
- By Customer: You may cancel your subscription at any time through the customer portal. Cancellation takes effect at the end of the current billing cycle. Hosted access will cease after your subscription expires.
- By Company for Breach: We may terminate your license for material breach of these Terms with 30 days’ written notice and opportunity to cure.
- By Company for Non-Payment: We may suspend and terminate your license after 15 days’ written notice of non-payment.
Upon termination, your license access is deactivated. Hosted job data is retained or deleted according to the Privacy Policy and any applicable enterprise agreement.
18. Modifications to Terms
The Company may modify these Terms with 30 days’ written notice of material changes via email to your account address. Continued use after the effective date constitutes acceptance. Non-material changes may be made by updating the “Last Updated” date.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.
20. Dispute Resolution
- Negotiation: The parties shall first attempt to resolve disputes through good-faith negotiation for 30 days.
- Mediation: If unresolved, disputes shall be submitted to mediation in Cook County, Illinois.
- Arbitration: If unresolved within 60 days, disputes shall be submitted to binding arbitration in Cook County, Illinois before the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
21. Force Majeure
Neither party shall be liable for failures or delays resulting from events beyond reasonable control, including natural disasters, acts of war, government orders, pandemics, or widespread internet outages.
22. General Provisions
- Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement and supersede all prior communications.
- Assignment: You may not assign these Terms without prior written consent. The Company may assign in connection with a merger, acquisition, or sale of substantially all assets with 30 days’ notice.
- Waiver: Failure to enforce any provision does not constitute a waiver.
