Terms of Service

Plain-language summary: Solace Manufacturing helps you manage inspections, SPC, and compliance. Your inspection data and quality records are yours -- always. The software supports your compliance efforts but does not replace your quality team's professional judgment.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Detailed In Design, LLC ("Company," "we," "us," or "our"), an Illinois limited liability company, governing your use of the Solace Manufacturing platform and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
Solace Manufacturing is a supply chain quality assurance and Statistical Process Control (SPC) compliance platform. The Service provides inspection management, SPC charting, supplier scorecards, compliance auditing, and traceability tools for manufacturing organizations.
3. Subscription and Access
3.1 License Scope
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Solace Manufacturing according to the subscription tier you have selected.
3.2 Authorized Users
Your subscription may include a specified number of authorized users. You are responsible for ensuring that only authorized users access the Service and that each user maintains unique login credentials.
3.3 Restrictions
You may not:
- Reverse engineer, decompile, or disassemble the software
- Sublicense, resell, rent, or lease the Service to third parties
- Remove or alter any proprietary notices or labels
- Use the Service to build a competing product or service
- Share login credentials between multiple individuals
- Attempt to gain unauthorized access to other tenants or system infrastructure
4. Inspection Data Ownership
Your data is yours. All inspection records, SPC measurements, supplier information, quality metrics, compliance documentation, and any other data you enter, generate, or store through Solace Manufacturing are and remain your sole property. We claim no ownership, license, or rights to your data.
Upon termination of your subscription, you may export all of your data in standard formats. We will provide a reasonable data export period of at least thirty (30) days following termination.
5. Compliance and Regulatory Disclaimers
Important: Solace Manufacturing is a tool that supports your quality management and compliance processes. Use of the software does not, by itself, guarantee compliance with ISO 9001, AS9100, IATF 16949, or any other standard, regulation, or certification requirement.
5.1 No Guarantee of Compliance
While Solace Manufacturing is designed to support workflows aligned with common quality standards (ISO 9001, AS9100, IATF 16949, and others), certification and compliance determinations are made by accredited auditors and registrars -- not by software. You remain solely responsible for:
- Ensuring your quality management system meets applicable standard requirements
- Maintaining proper procedures, training, and documentation as required by your registrar
- Validating that software-generated SPC calculations, control limits, and capability indices are appropriate for your processes
- Performing management reviews, internal audits, and corrective actions as required
5.2 Inspection Data Accuracy
The accuracy of inspection results, SPC charts, and quality reports depends on the accuracy of data entered by your users and the proper configuration of measurement parameters. We are not responsible for decisions made based on incorrectly entered or configured data.
5.3 Industry-Specific Requirements
Different industries and standards have specific requirements for data integrity, electronic records, and electronic signatures (e.g., 21 CFR Part 11 for FDA-regulated industries). You are responsible for determining whether the Service meets the specific regulatory requirements of your industry.
6. Account and Billing
6.1 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
6.2 Payment Terms
Paid subscriptions are billed in advance on a recurring basis according to the plan selected. All fees are non-refundable except as expressly stated in our refund policy or as required by law.
6.3 Cancellation
You may cancel your subscription at any time. Upon cancellation, your access remains active through the end of the current billing period. You will have at least thirty (30) days after your subscription ends to export your data.
7. Intellectual Property
The Service, including all software, algorithms, documentation, branding, and related materials, is owned by Detailed In Design, LLC and protected by copyright, trade secret, and other intellectual property laws. These Terms do not grant you any rights to our trademarks, service marks, or trade dress.
8. Confidentiality
We acknowledge that your manufacturing data, supplier relationships, process parameters, and quality metrics may constitute trade secrets and competitively sensitive information. We agree to:
- Treat all data accessible during support engagements as strictly confidential
- Limit access to authorized support personnel only
- Not use your data for any purpose other than providing the Service
- Not disclose your data to third parties except as required by law
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL MEET ANY SPECIFIC REGULATORY OR COMPLIANCE REQUIREMENTS.
SPC calculations, capability indices, control limits, and other statistical outputs are provided as computational tools. You are responsible for verifying the appropriateness of statistical methods and interpreting results in the context of your specific manufacturing processes.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DETAILED IN DESIGN, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM FAILED AUDITS, LOST CERTIFICATIONS, PRODUCT RECALLS, QUALITY ESCAPES, OR REGULATORY ACTIONS, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Detailed In Design, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or any claim that your use of the Service infringed upon the rights of a third party.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in Cook County, Illinois, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding. You waive any right to participate in a class action lawsuit or class-wide arbitration.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least thirty (30) days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
14. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. Upon termination, you will have at least thirty (30) days to export your data. Sections that by their nature should survive termination (including Data Ownership, Confidentiality, Limitation of Liability, and Governing Law) shall survive.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Detailed In Design, LLC regarding the Service and supersede all prior agreements and understandings.
